Overview
We are a fully integrated, late-stage biotechnology company focused on the development of first, only and best in class gene therapies, with direct on-target mechanism of action and clear clinical endpoints, for rare and devastating diseases. We have three clinical-stage ex vivo lentiviral vector programs, which include programs for:
Fanconi Anemia (“FA”), a genetic defect in the bone marrow that reduces production of blood cells or promotes the production of faulty blood cells (RP-L102);
Leukocyte Adhesion Deficiency-I (“LAD-I”), a genetic disorder that causes the immune system to malfunction (RP-L201); and
Pyruvate Kinase Deficiency (“PKD”), a red blood cell autosomal recessive disorder that results in chronic non-spherocytic hemolytic anemia (RP-L301).
In September 2023, the Food and Drug Administration (“FDA”) accepted the Biologics License Application (“BLA”) and granted priority review for RP-L201 for the treatment of severe LAD-I. On June 28, 2024, we announced that the FDA had issued a Complete Response Letter in response to the BLA wherein the FDA requested limited additional Chemistry Manufacturing Controls information to complete its review. We are in the process of providing the additional requested information. Treatments in the FA Phase 2 studies were completed in 2023 and submission of a rolling BLA was initiated on September 26, 2024. In April 2024, the European Medicines Agency accepted our Marketing Authorization Application for RP-L102. Additional work on a gene therapy program for the less common FA subtypes C and G is ongoing.
We also have two clinical stage and one pre-clinical stage in vivo adeno-associated virus programs, which include programs for:
Danon Disease (“DD”), a multi-organ lysosomal-associated disorder leading to early death due to heart failure. The DD program is currently in an ongoing Phase 2 trial (RP-A501);
Plakophilin-2 Arrhythmogenic Cardiomyopathy, an inheritable cardiac disorder that is characterized by a progressive loss of cardiac muscle mass, severe right ventricular dilation, dysplasia, fibrofatty replacement of the myocardium and a high propensity to arrhythmias and sudden death (RP-A601); and
BAG3 Dilated Cardiomyopathy (“BAG3-DCM”), which is the most common form of cardiomyopathy and is characterized by progressive thinning of the walls of the heart resulting in enlarged heart chambers that are unable to pump blood. Our program utilizes recombinant AAV9-based gene therapy designed to slow or halt progression of BAG3-DCM.
In September 2023, we announced our alignment with the FDA on our pivotal study design for RP-A501 in DD. Completion of enrollment in this study was announced in September 2024, and dosing and follow-up is ongoing. We have received FDA clearance of an Investigational New Drug application (“IND”) for RP-A601, and we have initiated a Phase 1 study for this program. We are in the process of evaluating the optimal development pathway for BAG3-DCM and plan to submit an IND in 2025.
We have global commercialization and development rights to all of these product candidates under royalty-bearing license agreements.

Recent Developments
Danon Disease Phase 1 RP-A501 Update
On November 18, 2024, we presented long-term safety and efficacy results from the Phase 1 RP-A501 study which showed that RP-A501 was generally well tolerated and all evaluable DD patients demonstrated LAMP2 protein expression at 12 months (sustained up to 60 months) and reduction of left ventricular (LV) mass index by ≥10% at 12 months (sustained up to 54 months) after treatment. These data were presented at a Late-Breaking Scientific session at the American Heart Association Scientific Sessions 2024, published in The New England Journal of Medicine.
The safety and preliminary efficacy of RP-A501 were evaluated in a single-arm, open-label, multi-center Phase 1 study in male patients with DD. Five patients (pediatric (n=2) and adult/adolescent (n=3)) were treated with the low dose (6.7 x 1013 GC/kg), and two adult/adolescent patients were treated with the high dose (1.1 x 1014 GC/kg). Data from the Phase 1 study (cut-off April 19, 2024) showed that RP-A501 in conjunction with a transient immunomodulatory regimen was generally well tolerated. Most adverse events (AEs) were mild or moderate in severity, assessed as not related to RP-A501, and non-serious. All RP-A501 or immunomodulatory regimen-related AEs were manageable or reversible. One patient had worsening heart failure at baseline (LVEF <40%) attributed to DD and required heart transplantation for cardiomyopathy progression five months after receiving RP-A501.
Evidence of sustained clinically meaningful improvement was observed in pediatric patients followed up to 24 months and adult/adolescent patients followed up to 60 months. All evaluable patients in the Phase 1 trial demonstrated:
Cardiac LAMP2 protein expression at 12 months and thereafter;
Reduction or stabilization of LV mass index – the median reduction from baseline to most recent visit of 24% (for the ongoing pivotal Phase 2 trial, a 10% reduction in LV mass index and positive protein expression of Grade 1 or more are co-primary endpoints);
Preservation of normal LV ejection fraction (LVEF);
Reduction or stabilization of cardiac biomarkers (median cTnI and NTproBNP reductions of 84% and 57%, respectively);
Improvement in New York Heart Association class from Class II at baseline to Class I at most recent follow-up visit; NYHA Class I reflects the absence of clinical signs of heart failure;
Improvements in Kansas City Cardiomyopathy Questionnaire quality-of-life (median improvement of 27 points) scores that persisted up to 54 months of follow-up; and
Preliminary long-term follow-up assessments for Patient 1001 were positive for immunohistochemical staining and appear to show Grade 3 expression in the heart at the five-year timepoint. These are preliminary results with a formal update to be presented at an upcoming medical conference in 2025.
Pyruvate Kinase Deficiency Phase 2 RP-L301 Update
As previously disclosed, we have aligned with the U.S. Food and Drug Administration on the study design of the Phase 2 pivotal trial for RP-L301, our ex vivo LV-based program targeting Pyruvate Kinase Deficiency, a monogenic red blood cell disorder resulting in increased red cell destruction and mild to life-threatening anemia (“Phase 2 RP-L301 Study”). While the Phase 2 RP-L301 Study is ready for patient enrollment, we are currently focusing our resources on our other programs and have not initiated enrollment in the Phase 2 RP-L301 Study. We anticipate resuming patient enrollment in 2025.
Resignation of General Manager, Commercial Affairs
On December 2, 2024, Mark White resigned as our General Manager, Commercial Affairs, effective January 1, 2025.

We estimate that the net proceeds from the sale of the shares of common stock that we are selling in this offering will be approximately $154.8 million, or approximately $178.1 million if the underwriters exercise in full their option to purchase up to 1,980,000 of additional shares of common stock, after deducting the estimated underwriting discounts and commissions and estimated offering expenses payable by us. We estimate that the net proceeds from the sale of the pre-funded warrants in the Private Placement will be approximately $4.7 million, after deducting placement agent fees and estimated offering expenses payable by us.
We currently intend to use the net proceeds from this offering and the Private Placement primarily to fund pipeline development, for commercialization preparedness and execution, and for other general corporate purposes.
This expected use of our net proceeds from this offering and the Private Placement represents our intentions based upon our current plans and business conditions, which could change in the future as our plans and business conditions evolve. The amounts and timing of our actual expenditures may vary significantly depending on numerous factors, including the progress of our drug candidate development, the status of and results from clinical trials, as well as any collaborations that we may enter into with third parties for our drug candidates, and any unforeseen cash needs. Due to the uncertainties inherent in the clinical development and regulatory approval process, it is difficult to estimate with certainty the exact amounts of the net proceeds from this offering and the Private Placement that may be used for the above purposes. As such, our management will retain broad discretion over the use of the net proceeds from this offering and the Private Placement and investors will be relying on the judgment of our management regarding the application of the proceeds from this offering and the Private Placement.
Based on our planned use of the net proceeds from this offering and the Private Placement and our existing cash, cash equivalents and investments, we expect that such funds will be sufficient to enable us to fund our operating expenses and capital requirements into the second quarter of 2026, subject to certain assumptions, including clinical development plans. We have based this estimate on assumptions that may prove to be incorrect, and we could use our available capital resources sooner than we currently expect.
Pending the use of net proceeds as set forth above, we intend to invest the net proceeds in a variety of capital preservation instruments, including short-term, interest-bearing obligations, investment-grade instruments, certificates of deposit or direct or guaranteed obligations of the United States government.

Backup withholding is not an additional tax. FATCA
Provisions of the Code commonly referred to as the Foreign Account Tax Compliance Act, or FATCA, generally impose a 30% withholding tax on dividends on, or (subject to the proposed Treasury Regulations discussed below) gross proceeds from the sale or other disposition of, our common stock if paid to a “foreign financial institution” or a “non-financial foreign entity” (each as defined in the Code) unless (i) the foreign financial entity undertakes certain due diligence, reporting, withholding and certification obligations, (ii) the non-financial foreign entity identifies certain of its U.S. investors, if any, or (iii) the foreign financial entity or non-financial foreign entity is otherwise exempt under FATCA. Under the applicable U.S. Treasury Regulations and administrative guidance, withholding under FATCA generally applies to payments of dividends on our common stock. While withholding under FATCA would have also applied to payments of gross proceeds from a sale or other disposition of our common stock, under proposed U.S. Treasury Regulations, withholding on payments of gross proceeds is not currently required. Although such proposed regulations are not final, taxpayers and applicable withholding agents may rely on the proposed regulations until final regulations are issued. The lock-up provisions apply to common stock and to securities convertible into or exchangeable or exercisable for common stock (including without limitation, common stock or such other securities which may be deemed to be beneficially owned by the person executing the agreement in accordance with the rules and regulations of the SEC and securities of the Company which may be issued upon the exercise of a stock option or warrant or settlement of a restricted stock unit) that are owned now or acquired later by the person executing the lock-up agreement. THE COMPANY
Overview
We are a fully integrated, late-stage biotechnology company focused on the development of first, only and best in class gene therapies, with direct on-target mechanism of action and clear clinical endpoints, for rare and devastating diseases. We have three clinical-stage ex vivo lentiviral vector (“LV”) programs, which include programs for:
Fanconi Anemia (“FA”), a genetic defect in the bone marrow that reduces production of blood cells or promotes the production of faulty blood cells (RP-L102);
Leukocyte Adhesion Deficiency-I (“LAD-I”), a genetic disorder that causes the immune system to malfunction (RP-L201); and
Pyruvate Kinase Deficiency (“PKD”), a red blood cell autosomal recessive disorder that results in chronic non-spherocytic hemolytic anemia (RP-L301).
In September 2023, the FDA accepted the Biologics License Application (“BLA”) and granted priority review for RP-L201 for the treatment of severe LAD-I. On June 28, 2024, we announced that the FDA had issued a Complete Response Letter (“CRL”) in response to the BLA wherein the FDA requested limited additional CMC information to complete its review. We are in the process of submitting the additional requested information. Treatments in the FA Phase 2 studies were completed in 2023 with regulatory filing in the United States (“U.S.”) anticipated in 2024. In April 2024, the European Medicines Agency (“EMA”) accepted our Marketing Authorization Application (“MAA”) for RP-L102. Additional work on a gene therapy program for the less common FA subtypes C and G is ongoing.
In the U.S., we also have two clinical stage and one pre-clinical stage in vivo adeno-associated virus (“AAV”) programs, which include programs for:
Danon disease (“DD”), a multi-organ lysosomal-associated disorder leading to early death due to heart failure. The DD program is currently in an ongoing Phase 2 trial.

BAG3 Dilated Cardiomyopathy (“DCM”), which is the most common form of cardiomyopathy and is characterized by progressive thinning of the walls of the heart resulting in enlarged heart chambers that are unable to pump blood. Our program utilizes recombinant AAV9-based gene therapy designed to slow or halt progression of BAG3-DCM.
We have global commercialization and development rights to all of these product candidates under royalty-bearing license agreements.
Corporate History and Information
We were incorporated in Delaware in 1999 as Inotek Pharmaceuticals Corporation. Events of Default, Notice and Waiver

Mergers and Similar Transactions Permitted; No Restrictive Covenants or Events of Default

Form, Exchange and Transfer

Units in book-entry form will be represented by a global security registered in the name of a depositary, which will be the holder of all the units represented by the global security. Our Board of Directors
Our certificate of incorporation provides for the annual election of directors. At each annual meeting of stockholders, directors elected to succeed those directors whose terms expire shall be elected for a term of office to expire at the next annual meeting of stockholders after their election and until their successors are duly elected and qualified or until their earlier death, resignation or removal.
